Terms of Service

1. Acceptance of Terms

By installing, accessing, or using Messagesuite ("the App"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the App.

2. Account Usage

You must have a valid Shopify store to use Messagesuite. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Ensuring your use complies with applicable laws and regulations
• Obtaining proper consent before sending marketing messages to your customers
• Complying with WhatsApp, Google RCS, and SMS platform policies

3. Services Provided

Messagesuite provides:

• Omnichannel marketing campaign management (WhatsApp, RCS, SMS, Email)
• AI-powered customer segmentation
• Marketing automation and workflow tools
• Template creation and approval management
• Analytics and revenue tracking
• Customer communication tools

4. Billing Terms

Subscription fees are billed through Shopify's billing system. By subscribing, you authorize Shopify to charge your selected payment method.

• Subscription plans are billed monthly or annually as selected
• Channel delivery fees (WhatsApp, RCS, SMS) are billed as per provider rates and are in addition to the subscription fee
• Prices may change with 30 days' prior notice
• All fees are exclusive of applicable taxes

5. Free Trial

New users may be eligible for a free trial period. During the trial, you have access to the selected plan's features. At the end of the trial, your subscription will automatically convert to a paid plan unless cancelled.

6. Refund Policy

Subscription fees are non-refundable except in the following cases:

• Service outages exceeding 72 consecutive hours (prorated refund)
• Billing errors (full refund of the erroneous charge)
• Cancellation within 48 hours of initial subscription (full refund)

Channel delivery fees (WhatsApp, RCS, SMS charges) are non-refundable as they are passed through to third-party providers.

7. Acceptable Use

You agree NOT to use Messagesuite to:

• Send spam or unsolicited messages
• Transmit illegal, harmful, or offensive content
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Distribute malware or malicious content
• Attempt to gain unauthorized access to our systems

8. Limitation of Liability

To the maximum extent permitted by law, Messagesuite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the App.

Our total liability for any claims arising from your use of the App shall not exceed the amount you paid for the App in the 12 months preceding the claim.

9. Termination

Either party may terminate this agreement at any time:

• You may uninstall the App from your Shopify store at any time
• We may suspend or terminate your account for violation of these terms with 7 days' notice
• We may immediately terminate accounts engaged in illegal activity or abuse
• Upon termination, your data will be retained for 30 days for re-activation, after which it will be permanently deleted

10. Intellectual Property

Messagesuite and its original content, features, and functionality are owned by Messagesuite and are protected by international copyright, trademark, and other intellectual property laws.

11. Governing Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes via email or through the App. Your continued use of the App after such changes constitutes acceptance of the updated Terms.
